(d) Commodity-Based Trust Shares

(i) Nasdaq will consider for trading, whether by listing or pursuant to unlisted trading privileges, Commodity-Based Trust Shares that meet the criteria of this Rule.

(ii) Applicability. This Rule is applicable only to Commodity-Based Trust Shares. Except to the extent inconsistent with this Rule, or unless the context otherwise requires, the provisions of the trust issued receipts rules, Bylaws, and all other rules and procedures of the Board of Directors shall be applicable to the trading on Nasdaq of such securities. Commodity-Based Trust Shares are included within the definition of "security" or "securities" as such terms are used in the Bylaws and Rules of Nasdaq.

(iii) Nasdaq will file separate proposals under Section 19(b) of the Act before listing Commodity-Based Trust Shares. Any statements or representations included in the applicable rule proposal under Section 19(b) regarding: (a) the description of the reference assets or trust holdings; (b) limitations on the reference assets or trust holdings; (c) dissemination and availability of the reference asset or intraday indicative values; or (d) the applicability of Nasdaq listing rules specified in such proposals shall constitute continued listing standards.

(iv) Definitions. The following terms as used in the Rules shall, unless the context otherwise requires, have the meaning herein specified:

(A) Commodity-Based Trust Shares. (B) Commodity. The term "commodity" is defined in Section 1a(9) of the Commodity Exchange Act.

(v) Designation of an Underlying Commodity. Nasdaq may trade, either by listing or pursuant to unlisted trading privileges, Commodity-Based Trust Shares based on an underlying commodity. Each issue of a Commodity-Based Trust Share shall be designated as a separate series and shall be identified by a unique symbol.

(vi) Initial and Continued Listing. Commodity-Based Trust Shares will be listed and traded on Nasdaq subject to application of the following criteria:

(A) Initial Listing—Nasdaq will establish a minimum number of Commodity-Based Trust Shares required to be outstanding at the time of commencement of trading on Nasdaq.

(B) Continued Listing—Nasdaq will consider the suspension of trading in, and will initiate delisting proceedings under the Rule 5800 Series of, such series under any of the following circumstances:

(1) if following the initial 12 month period following commencement of trading on Nasdaq:

a. the Trust has more than 60 days remaining until termination and there are fewer than 50 record and/or beneficial holders of Commodity-Based Trust Shares;

b. if the Trust has fewer than 50,000 receipts issued and outstanding; or

c. if the market value of all receipts issued and outstanding is less than $1,000,000;

(2) if an interruption to the dissemination of the value of the underlying commodity persists past the trading day in which it occurred or is no longer calculated or available on at least a 15-second delayed basis by Nasdaq or one or more major market data vendors during the Regular Market Session (as defined in Nasdaq Rule 4120).

(3) if an interruption to the dissemination of the Intraday Indicative Value persists past the trading day in which it occurred or is no longer made available on at least a 15-second delayed basis; or

(4) if a series of Commodity-Based Trust Shares is not in compliance with any statements or representations included in the applicable rule proposal under Section 19(b) regarding: (a) the description of the reference assets or trust holdings; (b) limitations on the reference assets or trust holdings; (c) dissemination and availability of the reference asset or intraday indicative values; or (d) the applicability of Nasdaq listing rules specified in such proposals;

Upon termination of a Trust, Nasdaq requires that Commodity-Based Trust Shares issued in connection with such entity Trust be removed from Nasdaq listing. A Trust may terminate in accordance with the provisions of the Trust prospectus, which may provide for termination if the value of the Trust falls below a specified amount.

(C) Term - The stated term of the Trust shall be as stated in the Trust prospectus. However, a Trust may be terminated under such earlier circumstances as may be specified in the Trust prospectus.

(D) Trustee - The following requirements apply on an initial and continued listing basis:

(1) The trustee of a Trust must be a trust company or banking institution having substantial capital and surplus and the experience and facilities for handling corporate trust business. (2) No change is to be made in the trustee of a listed issue without prior notice to and approval of Nasdaq.

(E) Voting—Voting rights shall be as set forth in the applicable Trust prospectus.

(vii) Limitation of Nasdaq Liability. Neither Nasdaq nor any agent of Nasdaq shall have any liability for damages, claims, losses or expenses caused by any errors, omissions, or delays in calculating or disseminating any underlying commodity value, the current value of the underlying commodity required to be deposited to the Trust in connection with issuance of Commodity-Based Trust Shares; resulting from any negligent act or omission by Nasdaq, or any agent of Nasdaq, or any act, condition or cause beyond the reasonable control of Nasdaq, its agent, including, but not limited to, an act of God; fire; flood; extraordinary weather conditions; war; insurrection; riot; strike; accident; action of government; communications or power failure; equipment or software malfunction; or any error, omission or delay in the reports of transactions in an underlying commodity.

(viii) Market Maker Accounts. A registered Market Maker in Commodity-Based Trust Shares must file with Nasdaq in a manner prescribed by Nasdaq and keep current a list identifying all accounts for trading in an underlying commodity, related commodity futures or options on commodity futures, or any other related commodity derivatives, which the registered Market Maker may have or over which it may exercise investment discretion. No registered Market Maker shall trade in an underlying commodity, related commodity futures or options on commodity futures, or any other related commodity derivatives, in an account in which a registered Market Maker, directly or indirectly, controls trading activities, or has a direct interest in the profits or losses thereof, which has not been reported to Nasdaq as required by this Rule.

Coinbase rejects U.S. regulator's claim it broke rules on crypto - Coinbase had strongly refuted the U.S. Securities and Exchange Commission's (SEC) claim that it violated securities laws, according to a formal response to a legal threat from the regulator. In a public statement, CEO Brian Armstrong and Chief Legal Officer Paul Grewal had stated that, despite the desire to list securities in the future, existing regulatory ambiguity was a challenge. They had emphasized that "Coinbase does not list securities." This had followed Coinbase receiving a Wells notice from the SEC, indicating the regulator's intent to recommend an enforcement action. Despite this, the SEC had neither confirmed nor denied any ongoing investigations. The situation underscored the then growing tensions between the crypto industry and the SEC, with the latter asserting that many digital assets are securities that operate outside its supervision. In a bid for clarity, Coinbase had petitioned a federal court to compel the SEC to establish clear rules for digital assets, while also considering growth outside the U.S. if necessary.

Coinbase Risks Losing Revenue Sources as Regulators Circle - Coinbase, being the largest US cryptocurrency exchange, had faced uncertainty due to regulatory scrutiny of its key business sectors: coin custody, stablecoins, and staking. These services, which Coinbase relied on for growth, had come under increased regulatory watch. The company was expected to report a nearly $600 million loss for the fourth quarter, marking a fourth consecutive quarter of revenue decline. Despite regulatory pressures, Coinbase had maintained that its services differed from other affected companies and should remain unaffected. However, the uncertain regulatory environment had affected Coinbase's market share, and its diversification strategy to reduce reliance on trading fees was under question. CEO Brian Armstrong had expressed willingness to defend Coinbase's staking service in court and had engaged with Washington on regulation discussions. The company had also considered international expansion as a potential growth strategy.

Coinbase Sues SEC To Demand Regulatory Clarity on Crypto - Coinbase had filed a lawsuit against the U.S. Securities and Exchange Commission (SEC), urging the regulator to provide clear regulations for the cryptocurrency industry. The major U.S. cryptocurrency exchange had asked a federal court to press the SEC to respond within seven days to its previous rulemaking petition. The petition, filed in July, requested the SEC to define which digital assets are securities and how securities laws should be applied to digital assets. Coinbase argued that the lack of a clear regulatory framework in the U.S. hampered the market's smooth operation. The SEC had not responded or commented on the request. Despite the SEC's 2019 framework regarding digital assets and securities laws, the overall U.S. crypto sector had found it inadequate. Coinbase's Chief Legal Officer, Paul Grewal, had expressed concerns about the SEC's enforcement actions based on undisclosed interpretations of the law.

What is OmniBuy?

OmniBuy was born out of the need to simplify the cumbersome process of buying NFTs across different blockchains. As the developer explained, "So, if I have funds on Polygon and I wanna buy BAYC, I have to find a bridge, bridge it to that chain, swap it to ETH, approve it, and buy it. It's a long process and usually takes 20-40 minutes." With LayerZero and Stargate integration, OmniBuy streamlines this process, enabling users to pay in ETH on Polygon and receive their NFT within minutes.

The developer behind OmniBuy has been coding for eight years and found the crypto and blockchain industry particularly fascinating due to its decentralization and lack of age barriers, stating, "The idea of decentralization and no age barrier fascinated me a lot." Although proficient in Solidity and experienced in integrating LayerZero and Stargate, the developer considers OmniBuy a side project rather than a full-time endeavor.

But Why?

One of the main concerns in the crypto space is bridging digital asset risks, with users questioning the safety of cross-chain transactions. OmniBuy addresses these concerns by directly transferring NFTs to the user's wallet on Chain B without wrapping and sending them back to Chain A. The developer shared, "OmniBuy uses Stargate which doesn't wrap any assets. So the bridging risk doesn't come in here." This approach, made possible by Stargate's integration, reduces bridging risks. And Gajesh mentioned, Stargate's liquidity pools have enough liquidity to support transactions without users needing to fill them.

OmniBuy stands out in the NFT market thanks to its frictionless cross-chain transactions and support for more than ten marketplaces through its partnership with Uniswap NFT Aggregator. Additionally, the developer mentioned that "marketplaces can actually re-use the OmniBuy code and go truly multichain" and seamlessly integrate with any blockchain supported by LayerZero.

In the future, OmniBuy aims to expand its capabilities by connecting to the OpenSea API and developing support for EVM to Solana transactions, further enhancing the platform's user experience and versatility. The developer revealed, "LayerZero is launching on Solana soon. It won't be hard to integrate it with Solana." Wormhole currently supports Solana and EVM generic messaging, ensuring the infrastructure is reliable enough for OmniBuy's implementation.

1. What sparked the idea for OmniBuy?

2. How did you get into blockchain programming?

   1. I have been coding for past 8 years. From which 5 years were learning coding, figuring out which industry to work in etc. After looking into more than 6 industries, I chose crypto & blockchain. The idea of decentralization and no age barrier fascinated me a lot. I actually have couple of articles and documentary (coming soon) on me where I talk about it in detail.

3. What challenges did you face while creating OmniBuy?

   1. I didn't face any much challenges, I have known Solidity for past 3 years. And LayerZero & Stargate at pretty easy-to-integrate for developers

So what happened?

Well it started with a project called Gemholic and their 921 ETH raised via IDO funds which got stuck in the smart contract. This was not zkSync’s fault but it brings up a bigger issue of compatibility in an ever changing and permission-less world. Thw core nuts and bolts is the zkSync incompatibility with the transfer function. zkSync has specifically stated to not do it this way. But permission-less means just that, they are not responsible for what others put up incorrectly chuck in to the void.

The technicals might bore you so for the sake of time and our brief writer/reader relationship, I will summarize:

GemholicECO encountered an issue with their token contract on zkSync Era due to the usage of the .transfer() function. This happened because the contracts were not tested on testnet or local node, which would have caught the problem. zkSync Era uses the LLVM compiler to compile code from EVM languages like Solidity, Vyper, and Yul, enabling developers to enjoy faster transaction speeds and lower gas fees. However, there are trade-offs as zkSync Era is not EVM-equivalent, and codes written for Ethereum Mainnet or other EVMs might not function the same way on zkSync.

Goal3 learned from these issues early on and implemented better practices to ensure security and reliability, such as extensive unit testing, closed dev-net peer reviews, public testnet feedback, and partnering with tier-1 auditors. They also paid $10,000 to the community for the first public testnet and plan to launch bug bounties once their treasury is set up.

Despite being in Alpha, zkSync Era has a thriving ecosystem and has seen a significant spike in activity. The zkSync team takes responsibility for addressing issues and has found an elegant solution to unfreeze the GemholicECO contract with minimal changes to the gas metering protocol.
